These Terms of Service govern your access to and use of our website at https://www.hjmholdings.lat and all related services, including computer systems design, integration, consulting, and technical support. When you register you agree to: (a) provide accurate current and complete information; (b) maintain confidentiality of your credentials; (c) promptly update your information; (d) accept responsibility for all activities under your account; (e) notify us of unauthorized access. HJM Holdings, LLC provides professional computer systems design and related services including: (a) computer systems architecture and design; (b) computer integrated systems design; (c) professional scientific and technical consulting; (d) custom software and hardware integration; (e) network infrastructure design; (f) systems analysis and optimization; (g) ongoing technical support and maintenance. Specific scope and fees will be defined in separate service agreements.
You agree: (a) not to use our Services for any unlawful purpose; (b) not to interfere with our systems; (c) not to attempt unauthorized access; (d) not to transmit malicious code; (e) not to engage in data scraping without consent; (f) to respect intellectual property rights; (g) to comply with applicable laws; (h) to cooperate with us in resolving violations.
Fees will be as specified in service agreements. Unless otherwise agreed: (a) invoices are due within 30 days; (b) late payments may incur interest at 1.5 percent per month; (c) fees are in United States dollars; (d) you are responsible for taxes; (e) payment obligations are non-cancelable; (f) services may be suspended for non-payment after written notice; (g) billing disputes must be raised within 15 days.
(a) Ownership — All intellectual property rights in our Website Services methodologies tools and documentation remain the exclusive property of HJM Holdings, LLC; (b) License — We grant a limited non-exclusive non-transferable license to access and use our Services; (c) Deliverables — Upon full payment you receive ownership of custom deliverables created for you; (d) Restrictions — You may not copy modify reverse engineer or distribute our proprietary materials without written permission.
Both parties agree to maintain confidentiality of proprietary information. Confidential information includes specifications, designs, business plans, financial data, trade secrets, and client lists. Each party agrees: (a) to use information solely for the business relationship; (b) to limit access to personnel with a need to know; (c) to protect information with reasonable measures; (d) to return or destroy information upon request.
To the maximum extent permitted by law: (a) HJM Holdings, LLC shall not be liable for indirect incidental special consequential or punitive damages; (b) our total liability shall not exceed fees paid in the twelve months preceding the claim; (c) these limitations apply regardless of theory of liability; (d) we are not liable for factors beyond our reasonable control.
You agree to indemnify HJM Holdings, LLC its officers directors employees and agents from claims liabilities and expenses arising from: (a) your use of our Services in violation of these terms; (b) your violation of laws or third-party rights; (c) content you submit; (d) your gross negligence or willful misconduct.
Our Services are provided on an as is and as available basis. We disclaim all implied warranties of merchantability fitness for a particular purpose and non-infringement. We do not warrant that Services will meet your requirements be uninterrupted secure or error-free.
Either party may terminate according to agreement provisions. We may suspend or terminate your access if: (a) you materially breach these terms; (b) required by law; (c) we discontinue our Website; (d) you become insolvent. Upon termination your access ceases and we may delete your data.
Our Website may link to third-party services. We do not control or endorse third-party content or practices. We recommend reviewing their policies. We disclaim liability for loss from your use of third-party services.
We process personal data in accordance with our Privacy Policy. When we process data on your behalf: (a) we process according to your instructions; (b) we implement appropriate security; (c) we assist with data subject requests; (d) we notify you of data breaches; (e) upon termination we return or delete data.
These Terms shall be governed by the laws of the State of Utah and the United States. The UN Convention on Contracts for the International Sale of Goods is excluded. Legal action shall be brought in the courts of Utah County, Utah.
Disputes shall be resolved: (a) through informal negotiation for 30 days; (b) if unresolved through mediation in Salem, Utah; (c) if still unresolved through binding arbitration under Utah law; (d) either party may seek injunctive relief to protect IP or confidential information.
We reserve the right to modify these Terms at any time. Changes become effective upon posting. We will notify you of material changes. Continued use after changes constitutes acceptance.
If any provision is found invalid the remaining provisions remain in full force. The invalid provision shall be reformed to the minimum extent necessary to make it valid.
